Welcome to Carbyne Lab. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Carbyne Lab ("we," "us," or "our") governing your access to and use of the Carbyne Lab progressive web application, including all features, tools, content, and services available through carbynelab.com (collectively, the "Service").
By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to update or modify these Terms at any time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, notifying you through the Service. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
To access certain features of the Service, you must create an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you suspect unauthorized access to your account.
You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement. Accounts may not be shared, sold, or transferred to another person without our prior written consent.
We reserve the right to suspend or terminate accounts that violate these Terms, that contain false or misleading information, or that have been inactive for an extended period, with reasonable notice when possible.
Carbyne Lab offers multiple subscription tiers, each providing different levels of access to the Service's features:
Paid subscriptions are billed on a recurring basis (monthly or annually) according to the plan you select. Prices are listed on our website and may be updated with reasonable advance notice. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
You may upgrade, downgrade, or cancel your subscription at any time through your account settings. If you downgrade or cancel, you will retain access to your current plan's features until the end of your current billing period. After that, your account will revert to the features available at your new plan level.
"User Content" refers to all data, text, images, photos, messages, and other materials that you upload, submit, or generate through the Service. This includes workout logs, nutrition entries, body metrics, progress photos, in-app messages, and feedback submissions.
You retain ownership of your User Content. By submitting User Content to the Service, you grant Carbyne Lab a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or your account, except for content shared with other users (such as messages sent to your trainer) which will remain accessible to those recipients.
You are solely responsible for the accuracy and legality of your User Content. You agree not to submit content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable. We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, to be inappropriate.
The Service facilitates connections between personal trainers and their clients (trainees). Carbyne Lab provides the platform tools for this relationship but is not a party to any agreement between trainers and trainees. We do not employ, certify, or endorse any trainer on the platform.
Trainers are independent professionals who are solely responsible for the quality, safety, and appropriateness of the training programs, nutritional guidance, and coaching they provide through the platform. Trainees should independently verify the qualifications, certifications, and insurance status of any trainer they work with.
When a trainer-trainee relationship is established on the platform, the trainer gains access to the trainee's workout logs, nutrition data, body metrics, and the ability to log data on the trainee's behalf. Both parties consent to this data sharing when they establish the relationship. Either party may terminate the trainer-trainee connection at any time through the platform's settings.
Carbyne Lab is not responsible for any disputes, injuries, damages, or claims arising from the trainer-trainee relationship. Any financial arrangements between trainers and trainees are handled outside the platform unless otherwise specified.
The Service provides fitness tracking tools, exercise guidance, nutrition logging capabilities, and AI-powered motion analysis for informational and educational purposes only. Nothing provided through the Service constitutes medical advice, diagnosis, or treatment. The Service is not a substitute for professional medical advice, and you should consult a qualified healthcare provider before beginning any exercise program, making changes to your diet, or if you have any concerns about your health.
The AI motion analysis feature provides automated feedback on exercise form based on computer vision models. While we strive for accuracy, this technology has inherent limitations and may not detect all form issues or movement errors. AI feedback should be used as a supplementary tool, not as a replacement for qualified in-person instruction, especially for complex exercises or when working with injuries or physical limitations.
Calorie burn estimates, macronutrient calculations, and other numerical metrics provided by the Service are approximations based on general formulas and may not accurately reflect your individual physiology. These figures are intended as general guidance and should not be relied upon for medical or clinical purposes.
By using the Service, you acknowledge that physical exercise involves inherent risks including but not limited to physical injury, disability, and death. You assume full responsibility for any risks, injuries, or damages that you may experience as a result of using the Service or following any guidance obtained through the Service.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
The Service, including its design, code, features, graphics, logos, trademarks, exercise descriptions, AI models, and all other proprietary content (collectively, "Carbyne Lab IP"), is owned by Carbyne Lab and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on Carbyne Lab IP without our prior written consent.
The Carbyne Lab name, logo, and all related marks are trademarks of Carbyne Lab. You may not use our trademarks without prior written permission. Nothing in these Terms grants you any right, title, or interest in our intellectual property except as expressly needed to use the Service as intended.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARBYNE LAB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.
THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that the results obtained from using the Service will be accurate or reliable, or that any defects in the Service will be corrected. You acknowledge that the AI motion analysis and exercise guidance features are provided for informational purposes and are not guaranteed to be accurate in all circumstances.
You agree to indemnify, defend, and hold harmless Carbyne Lab and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any User Content you submit; or (e) any injury or harm resulting from your use of the Service, including injury during exercise.
You may terminate your account at any time by using the account deletion feature within the app or by contacting us at support@carbynelab.com. Upon account deletion, all your data will be permanently removed from our database, except as required by law or as otherwise stated in our Privacy Policy.
We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, if we believe you have violated these Terms. In cases of suspected violations, we will make reasonable efforts to notify you and provide an opportunity to address the issue before termination, except in cases of severe violations requiring immediate action.
Upon termination, your right to use the Service will cease immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 4 (User Content), 6 (Fitness Disclaimers), 9 (Limitation of Liability), 10 (Disclaimer of Warranties), 11 (Indemnification), and 13 (Governing Law).
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of California, and the arbitrator's decision shall be final and binding. You agree to waive any right to participate in a class action lawsuit or class arbitration against Carbyne Lab.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Carbyne Lab regarding the Service and supersede all prior or contemporaneous communications, proposals, and representations.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Carbyne Lab.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: Carbyne Lab shall not be liable for any failure or delay in performing our obligations under these Terms caused by events beyond our reasonable control, including natural disasters, acts of government, pandemics, internet outages, or third-party service disruptions.
